Program Terms of Use

These Program Site Terms of Use ("Terms") constitute a legally binding agreement between you ("you") and AidKit, Inc. ("AidKit," "we," "us," or "our") governing your access to and use of a program-specific application, enrollment, or participant-facing website or workflow (the "Program Site").

Acceptance
‍ By accessing or using the Program Site, you agree to these Terms. Where required, your consent will also be captured at a specific action point within the Program Site, such as when submitting your contact information or beginning an application. If you do not agree to these Terms, do not access or use the Program Site.

Scope
‍ These Terms apply only to the Program Site. They do not govern AidKit's public-facing website or the Administrator Site, each of which may be subject to separate terms, notices, or policies.

This Program Site is operated on behalf of a government agency, nonprofit, or other organization (the "Program Administrator"). The Program Administrator sets the eligibility rules, benefit amounts, and program requirements — not AidKit. AidKit provides the technology platform and handles your information on the Program Administrator's behalf. AidKit will only use your information independently if we need to protect the security of the website from attacks or unauthorized access, to detect and prevent fraud during the application process, or if required to comply with a court order. We only share your information as described in the Program Privacy Notice.

The name of the Program Administrator for your specific program will be identified during enrollment.

These Terms cover your general use of this Site only. The specific program you apply to may have its own rules and requirements called Program-Specific Terms. You will see and agree to these during your application or enrollment. They may cover things like eligibility requirements, how your information is used, and what you must agree to in order to receive assistance. If there is a conflict between these terms and the Program Specific Terms, those will apply to application and benefits and these terms apply to general use of the Site itself.

The Program Privacy Notice explains what information we collect, how we use it, who we share it with, how long we keep it, and your privacy rights. Please read it carefully before submitting personal information. It also explains the cookies this site uses. The Program Site uses only strictly necessary cookies— no advertising or marketing cookies are used.

AidKit may use SMS (text messaging) to communicate with you about your participation in a Program.

• If you provide your phone number, you may receive SMS messages related to your application, enrollment, benefits, payments, services, and other program-related updates.
• Message frequency may vary depending on your participation and activity in the Program.
• Message and data rates may apply depending on your mobile carrier and plan.
• You can opt out of receiving SMS messages at any time by replying STOP to any message. After you send "STOP," you may receive a confirmation message, and you will no longer receive SMS messages from AidKit.
• For help, contact us at help@aidkit.cloud or through the Program Site contact channel.
• Carriers are not liable for delayed or undelivered messages.
• Your information will be handled in accordance with the Program Privacy Notice.

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must:

• keep your account secure, and not share login information; and
• Notify AidKit promptly at help@aidkit.cloud or through the Program Site contact channel of suspected unauthorized access, credential compromise, or other security issues.

AidKit will acknowledge your report and take appropriate steps to investigate and address the issue.

You may use the Program Site only to:

• apply for, enroll in, or participate in a Program;
• provide information required for eligibility or verification;
• receive Program-related communications;
• access Program-related information; and
• complete required forms, surveys, or follow-up activities.

No ownership rights are transferred to you.

You must not:

• submit false, inaccurate, or misleading information;
• impersonate another individual or misrepresent your identity;
• share credentials or allow another person to use your account;
• attempt to access another participant's information;
• interfere with or disrupt the Program Site or its security;
• use the Program Site for any unlawful purpose;
• harass, intimidate, threaten, or abuse AidKit or Program personnel;
• engage in any conduct that constitutes fraud, exploitation, or coercion;
• attempt to bypass security or access controls; or
• submit sensitive personal information outside designated secure forms or workflows.

Sensitive personal information includes Social Security numbers, government-issued identification numbers, financial account information, immigration status, medical information, and similar categories identified in the Program Privacy Notice.

AidKit or the Program Administrator may maintain Program-related pages on third-party platforms. Those platforms have their own rules — make sure you read them.

Do not submit sensitive personal information through those channels. AidKit is not responsible for third-party platforms.

AidKit may change, pause, limit, or shut down all or part of the Program Site at any time, as long as the law allows it. The Program Site may experience interruptions due to maintenance, security, or operational issues. We are not responsible for any problems caused by these interruptions.

AidKit may update these Terms from time to time by posting revised Terms and updating the effective date. If you keep using the Program Site after we post changes, that means you agree to the updated Terms.

Nothing in this Section limits obligations regarding personal information as described in the Program Privacy Notice.

THE PROGRAM SITE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOUR USE OF THE PROGRAM SITE IS AT YOUR SOLE RISK.

TO THE FULLEST EXTENT PERMITTED BY LAW, AIDKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AIDKIT DOES NOT WARRANT THAT THE PROGRAM SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ERRORS WILL BE CORRECTED.

THIS DOES NOT CHANGE HOW WE HANDLE YOUR PERSONAL INFORMATION — SEE THE PROGRAM PRIVACY NOTICE FOR MORE INFORMATION.

TO THE FULLEST EXTENT PERMITTED BY LAW, AIDKIT AND ITS RELATED COMPANIES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PROGRAM SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, AIDKIT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PROGRAM SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100), EXCEPT TO THE EXTENT A GREATER AMOUNT IS REQUIRED BY APPLICABLE LAW OR EXPRESSLY PROVIDED IN THE PROGRAM-SPECIFIC TERMS, OR WHERE LIABILITY IS LIMITED TO A DIFFERENT AMOUNT UNDER AGREEMENTS BETWEEN AIDKIT AND THE PROGRAM ADMINISTRATOR.

Nothing in this section limits liability that the law does not allow us to exclude, or our obligations regarding your personal information as described in the Program Privacy Notice.

AidKit may suspend or limit your access to the Program Site at any time for security, fraud prevention, legal, or operational reasons, or at the request of the Program Administrator.

Where possible and as permitted by the program:

• AidKit will make reasonable efforts to notify the Program Administrator so your application is not lost.
• AidKit will notify you before suspending your access. In urgent situations such as fraud or security threats, access may be suspended immediately.
• If you believe your access was suspended in error, you may contact AidKit at help@aidkit.cloud.

Upon termination or suspension of your access for any reason, your obligations under Prohibited Activities and the limitations and disclaimers in these Terms survive and remain in full force and effect.

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Program Site will be resolved exclusively in the state or federal courts located in Denver, Colorado, and each party irrevocably submits to the personal jurisdiction and venue of those courts. AidKit may seek injunctive or other equitable relief in any court of competent jurisdiction.

If any portion of this Section is unenforceable, the remaining provisions remain in effect.

These Terms, together with the Program Privacy Notice, govern your use of the Program Site. They do not replace or modify program-specific terms or agreements between AidKit and the Program Administrator. In the event of a conflict, those agreements control.

You may not assign or transfer any rights or obligations under these Terms. AidKit's failure to enforce any right or provision does not constitute a waiver. Nothing in these Terms creates a partnership, employment, or agency relationship between you and AidKit. If any provision of these Terms, other than the Governing Law and Dispute Resolution Section, is found to be unenforceable, that part will be removed and the rest of the Terms will still apply.
