Agreement of terms

These Terms of Use  (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and AidKit, Inc, (“we”, “us”, or “our”), governing your access to and use of the public-facing website located at aidkit.com and any pages, content, features, and functionality available through that that website (collectively, the “Site”). 

Scope. These Terms apply only to the public-facing Site. They do not govern any program-specific portal, benefits application, participant workflow, client implementation, or other service operated by AidKit on behalf of a client, government partner, nonprofit, or other third party. Those services may be governed by separate program terms, client agreements, notices at collection, consent language, or other supplemental terms.

Acceptance. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

Our Information. AidKit, Inc. is incorporated in Delaware, USA and headquartered at  2000 S. Colorado Blvd., BLDG 1 - 2000 - #177, Denver, CO 80222. 

Updates to These Terms. We may update these Terms  from time to time. We will post the revised version on the Site and update the effective date. To the fullest extent permitted by law, your continued use of the Site after the revised Terms are posted constitutes acceptance of the revised Terms.

Geographic Limitation. The Site is intended for general informational, business development, recruiting, and inquiry submission purposes. Persons who access the Site from outside the United States do so on their own initiative and are solely responsible for compliance with applicable local laws.  

Sensitive Information. Unless expressly requested through a designated form, secure workflow, or program-specific portal, you must not submit protected health information, financial account credentials, government-issued identification numbers, or other sensitive information through the public-facing Site.

Privacy and cookies

Your use of the Site is subject to our Privacy Policy and Cookie Policy, each incorporated into these Terms by reference. Those policies govern AidKit's collection, use, disclosure, and protection of personal information, as well as cookies, analytics, marketing technologies, privacy rights, and applicable legal obligations.

Role.  AidKit acts as a data controller for personal information collected through the public-facing Site. When operating program-specific portals on behalf of clients or partners, AidKit generally acts as a processor or service provider under their instructions.

Intellectual property rights

Unless otherwise indicated, the Site and all its content , including source code, databases, software, Site designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and all trademarks, service marks, and logos( “Marks”) are owned by or licensed to us and are protected by U.S. and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Site and to download or print portions of the Content solely for your personal, non-commercial, informational use, subject to these Terms. Except as expressly permitted, no Content or Marks may be copied, reproduced, republished, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written permission. We reserve all rights not expressly granted.

User representations

By using the Site, you represent and warrant that: (1) you have the legal capacity to agree  to these Terms and will comply with them; (2) you will not use the Site for any illegal or unauthorized purpose; and (3) your use of the Site will not violate any applicable law or regulation.

If you submit information that is untrue, inaccurate, incomplete, or unauthorized, we may restrict or terminate your access to the Site and take any action permitted by law.

Permitted use and prohibited activities

The Site is made available for general informational, business development, recruiting, and inquiry submission purposes. You agree not to use the Site for any other purpose.

Specifically, you agree not to:

  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without prior written permission;
  • Circumvent, disable, or otherwise interfere with security-related features of the Site;
  • Use information obtained from the Site to harass, abuse, threaten or harm any person or to engage in unsolicited or unlawful outreach;
  • Make improper use of our contact channel or submit false reports of abuse or misconduct;
  • Misrepresent your identity or affiliation with AidKit, a client, or any other organization;
  • Use the Site in a manner inconsistent with any applicable laws or regulations; 
  • Introduce, transmit or attempt to transmit any virus, malicious code, Trojan horses, script, bot, or other harmful material, that interferes with the Site or connected systems; 
  • Delete or remove any copyright or other proprietary rights notice from any Content; 
  • Interfere with, disrupt, or create an undue burden on the Site or the networks or services connected to the Site;
  • Harass, intimidate, threaten or abuse any of our employees, agents or representatives in connection with your use of the Site; 
  • Attempt to bypass any measures of the Site designed to prevent or restrict access to the Site, or any portion of the Site;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from any portion of the Site, except as permitted by applicable law;
  • Use any automated means (spider, robot, scraper, or similar tool)  to access the Site except for standard search engine indexing or as otherwise authorized by us in writing; or
  • Use the Site or any Content to develop, market, train, or operate a competing product or service, or for any other unauthorized commercial purpose.

Feedback and voluntary submissions

If you submit feedback, suggestions, or other voluntary communications (“Feedback”), through the site or otherwise, you grant AidKit a non-exclusive, royalty-free, perpetual license to use such Feedback for lawful business purposes. AidKit is under no obligation to respond to or act on any Feedback. Personal information included in Feedback will be handled in accordance with the Privacy Policy. Nothing in this section grants AidKit ownership of your personal information.

Social media and third-party platforms

AidKit may maintain pages, accounts, or profiles on third-party platforms, including LinkedIn, YouTube, X, Meta, or similar services (“Social Media Pages”). Your use of any Social Media Pages is also governed by the applicable third-party platform’s terms and privacy policies.

If you contact, tag, or mention AidKit, comment on AidKit content, or otherwise submit information through a Social Media Page, you do so voluntarily. Do not submit protected health information, financial account information, government-issued identification numbers, or other sensitive personal information through social media. Personal information submitted through those channels will be handled in accordance with our Privacy Policy. AidKit may review and respond to communications directed to its Social Media Pages and may remove content where permitted by applicable platform rules or law. AidKit is not responsible for the operation, availability, security, or privacy practices of any third-party platform.

Site management

We reserve the right, but not the obligation, to monitor the Site for violations of these Terms, investigate suspected misuse, restrict or disable access; and take any legal or technical action we reasonably deem necessary to protect the Site, our rights, and other users. AidKit may retain access logs as necessary for security and legal compliance purposes, consistent with the Privacy Policy.

Term and termination

THESE TERMS REMAIN IN FULL FORCE AND EFFECT WHILE YOU USE THE SITE. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SITE, INCLUDING BLOCKING CERTAIN IP ADDRESSES, TO ANY PERSON FOR ANY LAWFUL  REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OR VIOLATION OF  APPLICABLE LAW OR REGULATION.  SECTIONS THAT BY THEIR NATURE SHOULD SURVIVE TERMINATION (INCLUDING INTELLECTUAL PROPERTY, DISCLAIMER, LIMITATIONS OF LIABILITY, INDEMNIFICATION, AND GOVERNING LAW) WILL SURVIVE.

Availability and modifications

We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. We may modify or discontinue all or part of the Site without notice at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site.

We cannot guarantee uninterrupted availability of the Site. The Site may experience downtime due to hardware, software, or other maintenance issues. To the fullest extent permitted by law, we are not  liable for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or discontinuance. Nothing in these Terms limits our obligations regarding personal information as described in the Privacy Policy.

Governing law and dispute resolution

Governing Law. These Terms shall be governed by the laws of the State of Colorado, without regard to conflict of law principles.

Informal Resolution. Before filing any claim, either party shall provide the other with written notice describing the dispute in reasonable detail. The parties will attempt in good faith to resolve the matter informally for 30 days from the date of that notice. If the dispute is not resolved within that period, either party may proceed as provided below.

Dispute Resolution. To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in Denver, Colorado, and each party irrevocably submits to the personal jurisdiction and venue of those courts.

Equitable Relief. Notwithstanding the foregoing, AidKit may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights.

Severability. If any portion of this Section 11 is found to be illegal or unenforceable, the invalid or unenforceable portion shall be severed, and the remaining provisions of this Section 11 shall remain in full force and effect.

Corrections

The Site may contain typographical errors, inaccuracies, or omissions, in descriptions, service information, or other content. We reserve the right to correct any such errors and update the information on the Site at any time, without prior notice.

Disclaimer of warranties

THE SITE IS PROVIDED ON AN “AS-IS” AND “AS-AVAILABLE” BASIS. YOUR USE OF THE SITE IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, AIDKIT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. 

AIDKIT DOES NOT  WARRANT  THE ACCURACY OR COMPLETENESS OF THE SITE’S CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE. AIDKIT ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES IN CONTENT, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SITE, (3) UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS, (4) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE, (5) ANY BUGS, VIRUSES, OR SIMILAR HARMFUL CODE TRANSMITTED TO OR THROUGH THE SITE BY ANY THIRD PARTY, OR (6)  ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT MADE AVAILABLE VIA THE SITE. 

AIDKIT DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PRODUCT, SERVICE, WEBSITE, OR APPLICATION LINKED OR REFERENCED THROUGH THE SITE. 

NOTHING IN THIS SECTION LIMITS AIDKIT'S OBLIGATIONS WITH RESPECT TO PERSONAL INFORMATION AS DESCRIBED IN THE PRIVACY POLICY.

Limitations of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AIDKIT  OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, AIDKIT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT BE EXCLUDED BY APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

Indemnification

You agree to defend, indemnify, and hold harmless AidKit and its subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, arising out of: (1) your use of the Site in violation of these terms; (2) breach of your representations or warranties in these Terms; (3) violation of the rights of a third party, including but not limited to intellectual property rights; or (4) harmful conduct directed at AidKit or third parties in connection with your use of the Site. We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case  you agree to cooperate with our defense. You may not settle any claim that imposes obligations on AidKit without our prior written consent. We will use reasonable efforts to notify you of any such claim upon becoming aware of it.

Information you submit

You acknowledge that internet transmissions are not fully secure.

AidKit uses reasonable administrative, technical, and physical safeguards as described in the Privacy Policy.

Nothing in these Terms limits rights or obligations described in the Privacy Policy.

Electronic communications, transactions, and signatures

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing, to the fullest extent permitted by applicable law.

Miscellaneous

Entire Agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement and understanding between you and AidKit with respect to the Site. 

Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. 

Severability. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision is severable and does not affect the validity of the remaining provisions.

Assignment. We may assign any or all of our rights and obligations to others at any time. You may not assign your rights under these Terms without our prior written consent. 

Force Majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, government action, cyberattacks, or infrastructure failures. 

No Partnership. Nothing in these Terms creates a joint venture, partnership, employment or agency relationship created between you and AidKit.
